Keynote Presentation: Antitrust Training for Small and Mid-Size Manufacturers: Competitor Agreements - What is legal and what is not?

President Biden and Senator Klobuchar, Chair of the Senate Judiciary Subcommittee on Antitrust, have both announced plans to toughen antitrust laws and prioritize the enforcement of those laws in both criminal and civil matters. Small and mid-size businesses have often felt immune to antitrust risks. However, they are mistaken. There is one federal act that is specifically directed at monopolies. Meanwhile, there are several other federal antitrust acts, and a patchwork of 50 state antitrust laws, equally important, that define and sanction antitrust violations. Our seminar will focus on antitrust issues that affect manufacturers of all sizes in their daily operations.
In this fast-paced seminar, we will address what types of conduct and contract terms are permitted and prohibited under antitrust law, and explain the standards used to determine compliance with the laws. We will also address recent recommendations from the FTC and the Department of Justice in terms of policies and training, that will reduce your company’s liability and damages if you or one of your employees is found to have violated the law. Finally, we will look at the most frequent sources of complaints and the impact of a new “whistleblower” statute that is under consideration.

Mark is a shareholder at Larkin Hoffman Law Firm in Bloomington, MN, and has served manufacturers in Minnesota and Wisconsin for over 35 years. He is recognized for his practical advice on strategic planning and day-to-day operations. His practice spans all aspects of his client's business operations: purchase and sale of a business, shareholder agreements, nonqualified deferred compensation plans, employment and labor, patent and trademark registration and licensing agreements, financing, supply contracts, international sales, security agreements, regulatory compliance (federal and state), and disputes and dispute resolution.
Mark was instrumental in successfully obtaining the upfront sales tax exemption for capital equipment purchases in Minnesota. Mark led the effort at the State Capitol for over three years, in collaboration with Chief House sponsor, Rep. David Tomassoni (Chisholm). Mark served as the sole lobbyist in the state on the topic on a volunteer basis and represented AMFA, TSMA, and his registered organization MPMA.
